Terms of Use of FREEMOBILE Public Wireless LAN Services

Article 1 (Application of General Provisions and the Terms of Use)
 
Takesho Co., Ltd. (hereinafter referred to as the "Company") provides for the following terms of use (hereinafter referred to as the "Terms of Use") with respect to FREEMOBILE Public Wireless LAN Services (hereinafter referred to as the "Services") provided by the Company to the users of the Services (hereinafter referred to as the "User").
 
Article 2 (Scope of the Terms of Use and Their Modification)
 
These Terms of Use shall apply to the Company and the User with respect to the use of the Services. Upon agreement by the User to these Terms of Use as provided for in Article 3 (Conditions for the Services), the Company and the User shall be obliged to comply with these Terms of Use in good faith.
 
2. The Company may modify these Terms of Use without obtaining consent from the User.
 
Article 3 (Conditions for Use of the Services)
 
The User must agree to these Terms of Use to use the Services.
 
2. If the User is a minor, it is assumed that a person with parental authority has agreed to these Terms of Use.
 
3. The user must comply with the Radio Act of Japan to use the Services.
 
4. The User must use the terminal with the Technical Regulations Conformity Certification of Japan, etc. to use the Services.
 
5. The User shall prepare transmission devices, software, etc. necessary to use the Services at his/her responsibility and expense.
 
Article 4 (Management of Password for Security Connection by E-mail Registration)
 
The User shall strictly control and manage the password provided to the User.
 
2. The User may not rent or assign the password to any other persons. The User shall be liable to, and the Company is not liable to, any and all damages arising from the inadequate management of password, error in use or unauthorized access by a third party.
 
Article 5 (Services to Be Provided)
 
The Company may modify the contents of the Services in whole or in part.
 
Article 6 (Use of Information Provided by a Third Party)
 
With respect to the use of the information provided by a third party, the User shall agree that any responsibility in connection with such information belongs to each information provider and that the Company is not a party of provision of such information.
 
Article 7 (Warranty of Contents of Information Provided by a Third Party)
 
The Company does not give any warranty including but not limited to warranty of completeness, accuracy, reliability and usefulness of any product, service and information provided by a third party through the Services.
 
2. The Company shall not be liable to any conflict between the User and a third party arisen or resulted from the use by the User of product, service or information provided by the third party.
 
Article 8 (Prohibitions)
 
In use of the Services, the User may not conduct any act stipulated in the following and if the Company determines that the User is conducting or has conducted any act thereof, the Company may terminate the use of the Services by the User.
 
(1) Any act to infringe or threaten to infringe any copyright or other rights of a third party or the Company;
 
(2) Any act to infringe or threaten to infringe property or privacy of a third party or the Company;
 
(3) Any act to cause prejudice, damage or threat thereof to a third party or the Company other than those stipulated in previous items;
 
(4) Any act to defame or make any negative announcements or comments against a third party or the Company;
 
(5) Any act against public order and moral (including obscenity, prostitution, violence, atrocity and abuse) or threat thereof or any act to provide information against public order and moral;
 
(6) Any criminal act, or any act which may result in a criminal act, or any threat thereof;
 
(7) Election campaign or any act similar thereto, whether during the period of election campaign or not;
 
(8) Any act to make the Services a subject of commercial activity such as resale or lease of the Services;
 
(9) Any act to establish a pyramid scheme or act of solicitation thereto;
 
(10) Any act of transmission of advertisement, promotion or solicitation to be delivered to many and unspecified persons or fraudulent information or any e-mail which causes or threaten to cause disgust (harassment e-mail);
 
(11) Any act to interfere the receipt of e-mail by a third party or the Company, or any act to request to transfer chain e-mail or act to transfer chain e-mail upon such request;
 
(12) Any act to use the Services as a third party;
 
(13) Any act to alter or delete the information of the Company or a third party accessible through the Services;
 
(14) Any act to use or provide harmful program such as computer viruses through or in connection with the Services;
 
(15) Any act to annoy or harm a third party or the Company, any act which is likely to interfere the Services, or any act to interfere the operation of the Services;
 
(16) Any act to use the Services in a matter which may cause substantial obstacles to direct or indirect user of the Services;
 
(17) Any other act which violate or threaten to violate any applicable law;
 
(18) Any other acts which the Company determines as inappropriate.
 
Article 9 (Principle of Self-Responsibility)
 
The User shall be legally liable to, including liability for compensation of damages, for any damage suffered or incurred by the Company or a third party as a result of or in connection with any act of the User which falls within any of the act stipulated in the preceding Article (Prohibitions).
 
2. If the User suffers any damages or becomes subject to any legal liability in connection with information or file uploaded or downloaded by the User using the Services, the User shall dispose such damages or liability at his/her own responsibility and shall not make any claim to or make trouble for the Company.
 
Article 10 (Ownership)
 
Any and all programs, software, services, process, trademark, trade name or service provided by a third party as well as technologies in general incidental thereto belong to the Company or such a third party provider.
 
Article 11 (Copyright)
 
The User may not use information or file provided through the Services in any manner beyond the reproduction for personal use of the user as provided for in Copyright Act without consent of the right holder.
 
2. The User may not cause any third party to use or publish any information or file provided through the Services in any manner without consent of the right holder.
 
3. If any dispute arises from the violation of provisions of this Article, the User shall settle such dispute at his/her expense and responsibility, and shall indemnify and hold harmless the Company from such dispute.
 
Article 12 (Handling of Personal Information)
 
The Company shall handle the personal information obtained by the Company through the provision of the Services (hereinafter referred to as the "Personal Information") in accordance with the Personal Information Protection Policy stipulated in the Privacy Policy of the Company and appropriately as stipulated in the following items;
 
(1) The Personal Information obtained by the Company are MAC address, e-mail address and access log.
 
(2) The Company may use the Personal Information for the Services or service related thereto or other business of the Company (including preparation of statistic materials, and provision to a third party to the extent necessary for the business).
 
(3) In case of the provision of the Personal Information to a third party as provided for in the preceding item, such personal information shall be anonymized and anonymized information shall not be re-identified. In addition, if such information is provided to a third party, the re-identification of such information by a transferee shall be prohibited by the agreement. The Personal Information of the User shall not be provided to any third party, without complying with the provisions of Personal Information Protection Policy of the Company.
 
(4) The Company may treat the statistical materials made based on the Personal Information without any restriction.
 
(5) The access log of the User shall be kept for a reasonable period and may be provided to relevant authority based upon request pursuant to applicable law or order.
 
(6) The Company shall appropriately maintain and manage the Personal Information by taking precautionary measures to avoid loss, destruction, alteration, leak of or unauthorized access to the Personal Information.
 
(7) When the Company received the request of inquiry, correction or deletion of the Personal Information, the Company shall accommodate to such requests to the extent reasonable if the Company may determine the content of such request is appropriate.
 
2. The Company shall comply with the Act on the Protection of Personal Information and rules related thereto.
 
Article 13 (Discontinuation and Suspension of the Services)
 
If any of the following items is applicable, the Company may discontinue or suspend the operation of the Services:
 
(1) When regular or emergency maintenance or work for the system of the Services is performed or when the system failure of the Company or other similar issue arises.
 
(2) When the regular provision of the Services becomes impossible due to war, riot, conflict, labor dispute, earthquake, eruption, flood, fire, power failure or other force majeure.
 
(3) By regulation or order of the government authorities.
 
(4) When the Company otherwise determines the necessity of the discontinuation or suspension of the Services for the purpose of the operation thereof.
 
2. The Company shall not be liable in any manner for any damage whatsoever suffered by the User or any third party due to the discontinuation or suspension of the Services based on the provisions of this Article.
 
Article 14 (Compensation of Damages)
 
The compensation of damages shall be based on the provision of the agreement of the Company.
 
Article 15 (Disclaimer)
 
The Company shall not be liable in any manner for any damage incurred by the User in connection with the provision of the Services.
 
2. The Company shall not provide any warranty to performance of communication equipment, software, etc. used by the User.
 
Article 16 (Governing Law)
 
The formation, validity, performance or interpretation of these Terms of Use shall be governed by law of Japan.
 
Article 17 (Court of Jurisdiction)
Any dispute arising between the User and the Company in connection with the Services shall be attempted to be settled by good faith negotiation between the parties.
 
2. If such dispute may not be settled through the negotiation in the preceding paragraph, Nagoya District Court or Nagoya Summary Court shall be the agreed court of exclusive jurisdiction as a court of the first instance.
